written agreement or Statement of Work (SOW) provided before the commencement of any work.
2. Client Responsibilities
To ensure the successful and timely delivery of our Services, you agree to:
- Provide timely access to necessary information, credentials, digital assets, and feedback required for
your project.
- Ensure that any text, images, or other materials you provide do not infringe upon the intellectual
property rights of any third party.
- Review and approve deliverables within the timeframes specified in your project agreement.
3. Payment Terms
Fees: Fees for our Services will be outlined in your specific project proposal or
SOW.
Invoicing: Unless otherwise agreed in writing, a deposit is required before work
commences, with the remaining balance due upon project completion or at established
milestones.
Late Payments: Failure to pay invoices on time may result in the suspension of
Services or a delay in project delivery.
4. Intellectual Property
Client Ownership: Upon full payment for our Services, you will own the final deliverables
(e.g., the completed website design, app code, or finalized content) created specifically for your project,
unless otherwise stated in your project agreement.
Our Ownership: SqCloud Technologies
retains ownership of our pre-existing intellectual property, proprietary code, frameworks, tools, and
methodologies used to create your deliverables. We grant you a non-exclusive, non-transferable license to use
these underlying tools solely as they are incorporated into your final deliverables.
5. Revisions and Maintenance
Development Revisions: Projects include a specific number of revision rounds as defined in
your SOW. Additional revisions beyond the agreed scope will be billed at our standard hourly
rate.
Post-Launch Maintenance: Unless a separate maintenance agreement is signed, SqCloud
Technologies is not responsible for ongoing updates, backups, or security monitoring once a project is
completed and handed over.
6. Disclaimer of Warranties
Our Site and Services are provided on an "as-is" and "as-available" basis. While we strive to deliver
high-quality work, SqCloud Technologies makes no warranties, expressed or implied, regarding the continuous,
error-free operation of your website or app, nor do we guarantee specific rankings or traffic results from our
SEO services.
7. Limitation of Liability
To the maximum extent permitted by law, SqCloud Technologies shall not be liable for any indirect,
incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising
out of or in connection with your use of our Site or Services.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of India, specifically under the
jurisdiction of the courts in Delhi, without regard to its conflict of law provisions.
